This End User License Agreement ("Agreement") is a legal agreement between you ("End User" or "you") and StartupFlow s.c. ("Company" or "we") for the use of the TW Elements software ("Product"). By using the Product, you agree to be bound by the terms and conditions of this Agreement.

Dual Licensing

The Product is available under two different licenses: a free version available under the GNU Affero General Public License (AGPL) and a paid version available under this End User License Agreement (this Agreement). The purchaser of the paid version of the Product, the holder of this license, is not bound by the terms of the AGPL license that applies to the free version.

License Validity

The license granted under this End User License Agreement is not valid in and of itself, and cannot be simply copied and sent to someone else. The license is only valid when the purchaser has an active subscription, which is nominally assigned to them in their MDBootstrap.com account. If the subscription is not renewed or is terminated, the license granted under this agreement will automatically terminate.

License

Subject to the terms and conditions of this Agreement, Company grants you a limited, non-exclusive, non-transferable license to use the Product for your personal or commercial use.

Rights

No attribution required

You are not required to attribute or link to Material Design for Bootstrap in any projects.

Right to personal use

The Agreement grants you, the purchaser, an ongoing, non-exclusive, worldwide license to make use of the Product in personal projects, in accordance with the EULA.

Right to commercial use

The Agreement grants you, the purchaser, an ongoing, non-exclusive, worldwide license to make use of the Product in commercial projects, in accordance with the EULA.

Right to modification

You may modify the resources according to your requirements.

Right to create unlimited End Product*

You may use the Product to create an unlimited number End Products in accordance with the EULA. The End Product is a customized implementation of the Product requiring an application of skill and effort (f.e. a website build with TW Elements with customized, modified content is an End Product because it requires skill and effort while a website which is literally copy-pasted TW Elements design block isn't).

Restrictions

Unauthorized redistribution

You cannot redistribute, resell, lease, license, sub-license or offer the Product directly or non-directly to any other third party, without an explicit agreement with the Company.

Product usage by End Product users

You cannot permit an user of the End Product to use the Product separately from the End Product. (f.e. Your client can use the website X that you've built for him, but he cannot build another website Y himself using the files installed for the website X.)

Open source

You cannot redistribute any of the software, or products created with the Product to repositories like GitHub, where they are publicly available or include it into any Open Source projects.

Competition

You cannot use the Product to create any End Products that would compete with the Product itself. (f.e. you cannot use TW Elements to create a framework, library, design system, template, plugin or a page generator).

Ownership

Company retains all right, title, and interest in and to the Product, including all intellectual property rights. You acknowledge that you have no ownership rights in the Product.

Disclaimer of Warranties

The Product is provided "as is" without warranty of any kind, either express or implied, including without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Company does not warrant that the Product will meet your requirements or that the operation of the Product will be uninterrupted or error-free.

Limitation of Liability

In no event shall Company be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Product, even if Company has been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold Company harmless from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Product.

Term and Renewal

The license granted under this Agreement is valid for a period of one (1) year from the date of purchase ("Initial Term"). The license will automatically renew for subsequent one-year terms ("Renewal Term") upon payment of the renewal fee, which is specified in the subscription details in your MDBootstrap.com account. If you do not wish to renew the license, you must notify the Company prior to the expiration of the Initial Term or any Renewal Term or cancel your subscription in your MDBootstrap.com account. Company reserves the right to modify the renewal fee upon sixty (60) days of notice to you.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Poland without giving effect to any principles of conflicts of law. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be resolved exclusively in the courts of Warsaw, Poland.

Entire Agreement

This Agreement constitutes the entire agreement between you and Company with respect to the Product and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Product.

By purchasing and using the Product, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions. If you do not agree to these terms and conditions, do not use the Product.
